SpaceX's IPO will give CEO Elon Musk "virtually unchecked executive authority" and limit shareholder rights to sue the company. The company combines supervoting shares, mandatory arbitration, stricter shareholder proposal rules, and Texas corporate law to give Musk and insiders broad control. Shareholders are prohibited from bringing class actions and instead must use mandatory arbitration, a policy the SEC only recently permitted in September 2025.
